1. Definitions and Interpretation

" iTrust " , " we " , " us ", or " our " refers to iTrust Finance Limited, a company incorporated under the laws of the United Republic of Tanzania, licensed and regulated by the Capital Markets and Securities Authority (CMSA) and authorized to provide investment advisory, fund management, and securities trading services in Tanzania; licensed and regulated by the Bank of Tanzania (BOT) as a Tier 2 Financial Services Provider.

" Mobile App " means the iTrust mobile application software downloadable on compatible smartphones or tablets, which provides access to iTrust investment and account services.

" Customer Portal " means the secure, web- based interface which registered users can access iTrust services via browsers.

" Platform " collectively refers to the Mobile App and Customer Portal.

" Services " refers to all investment services and financial services offered via the Platform, including but not limited to buying and selling stocks listed on the Dar es Salaam Stock Exchange (DSE), investment in funds including Unit Trust Schemes, bonds, portfolio tracking, support services, payment processing services, and other financial instruments or digital financial services offered by iTrust from time to time under its applicable licenses.

" User " or " you " " your " means any person or a customer who registers for and uses the Platform

" CMSA " means the Capital Markets and Securities Authority of Tanzania.

" DSE " means the Dar es Salaam Stock Exchange.

" BOT " means Bank of Tanzania.

" Personal Data " has the meaning set out in the Personal Data Protection Act No. 11 of 2022, including any identifiable information about an individual.

" NIDA " means the National Identification Authority of Tanzania.

" Intellectual property " means the copy-right, know-how, the trade names and any marks, trade device, service mark, symbol, code or specification, patents, designs and other individual or intellectual property rights used in or associated with a person.

" KYC " means Know Your Customer.

" AML/CFT " means Anti-Money Laundering and Countering the Financing of Terrorism.

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you and iTrust Finance Limited. By downloading, installing, accessing, registering or using the iTrust Platform, you acknowledge having read, understood, and agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree to these terms, you must not use the Platform.

3. Eligibility and Registration

3.1 Eligibility Requirements

Eligibility Requirements:

  • You must be at least 18 years of age.
  • Be a resident of Tanzania or a foreign national with a valid residence permit;
  • Not be subject to legal or regulatory restrictions that bar you from using financial and investment services under any applicable law or from being subject to sanctions list;
  • Have the legal capacity to enter into binding agreements;
  • Provide valid identification as specified in Section 3.2

Certain Services offered by iTrust may have additional or specific eligibility or onboarding requirements, which will be communicated to you at the time of application for such Services or as set out in the specific terms applicable to those Services.

3.2 Registration Requirements

You may register using any of the following valid identification documents:

  • National ID (NIDA): Valid National Identification Card issued by the National Identification Authority
  • Passport: Valid Tanzanian or foreign passport
  • For Tanzanian Citizens: Valid National Identification Number (NIN) as required by DSE trading rules
  • A valid Tanzanian bank account in your name
  • Email Address: Valid and accessible email address
  • Mobile Phone Number: Valid mobile phone number registered in Tanzania
  • Any other documents required for compliance with KYC or regulatory obligations

3.3 Account Verification

All User accounts are subject to Know Your Customer (KYC) verification in accordance with:

  • Anti-Money Laundering Act, Cap. 423 R.E. 2022
  • Personal Data Protection Act No. 11 of 2022;
  • Guidelines for Verification of Customers' Identities (issued by the Financial Intelligence Unit)
  • CMSA regulations for investment services
  • Electronic and Postal Communications (Online Content) Regulations

You agree to provide accurate, complete, and current information during registration and to update such information as necessary.

4. Services Provided

4.1 Core Investment Services

iTrust offers the following regulated services:

  • Stock Trading: Purchase and sale of securities listed on the DSE in accordance with DSE trading rules and regulations
  • Fund Management: Investment in various funds, including Unit Trust Schemes, managed by iTrust
  • Bond Trading: Investment in government and corporate bonds
  • Portfolio Management: Management of investment portfolios
  • Other financial or digital financial services as iTrust may introduce and be authorized to provide

4.2 Platform Features

The Platform may offer various features designed to enhance your investment experience, which may include, but are not limited to:

  • Real-time market data and pricing
  • Investment research and analysis tools
  • Portfolio tracking and performance reporting
  • Transaction history and statements
  • Customer support services

iTrust reserves the right to modify, add, or remove platform features at its sole discretion, provided such changes do not materially degrade the existing contracted services without appropriate notice.

5. Regulatory Compliance

5.1 Licensing and Regulatory Oversight

iTrust Finance Limited’s services are subject to regulation by:

  • Capital Markets and Securities Authority
  • Bank of Tanzania
  • Dar es Salaam Stock Exchange

5.2 Trading Rules Compliance

All trading activities are subject to the DSE Rules 2022 and subsequent amendments, including:

  • Block trade requirements with minimum transaction value of TZS 250 million
  • Price variation caps and trading hour restrictions
  • Market opening hours from 9:00 AM to 4:00 PM (Monday to Friday, or as otherwise published by the DSE)

6. User Responsibilities and Prohibited Activities

6.1 User Responsibilities

You agree to:

  • Provide accurate and truthful information during registration and account maintenance.
  • Maintain the confidentiality of your account credentials
  • Use the Platform only for legitimate investment purposes
  • Comply with all applicable laws and regulations
  • Report any suspicious activities or unauthorized access immediately

6.2 Prohibited Activities

You must not:

  • Use the Platform for any illegal, fraudulent, or unauthorized purposes
  • Attempt to gain unauthorized access to the Platform or its systems
  • Reverse engineer, modify, or tamper with the Platform
  • Engage in market manipulation or insider trading
  • Violate any securities laws or regulations
  • Share your account credentials with unauthorized persons
  • Engage in any activity that could harm, disable, overburden, or impair the Platform or interfere with any other user’s use and enjoyment of the Platform

7. Data Protection and Privacy

7.1 Data Collection and Processing

Your data is collected and processed in accordance with the Personal Data Protection Act No. 11 of 2022, including:

  • Identity verification documents (NIDA, passport, etc.)
  • Contact information (email, phone number)
  • Financial information and transaction history
  • Device information and usage data

7.2 Data Protection Measures

iTrust implements appropriate technical and organizational security measures to protect your personal data against unauthorized access, loss, or misuse.

7.3 Data Retention

Personal data will be retained for the period required by applicable laws, including a minimum of five years from the end of the business relationship for AML/CTF purposes, and other periods as required for audit and regulatory compliance.

8. Fees and Charges

8.1 Investment Fees

Fee Schedule available on our website at [insert link] which outlines all applicable charges for brokerage, fund management, custodial services, and platform usage.

iTrust will disclose all applicable fees and charges before you initiate any transaction, including:

  • Brokerage fees for securities trading as applicable and disclosed in the relevant fee schedules.
  • Management fees for fund investments, which are specifically detailed in the respective Fund’s Prospectus or offering Document. Users are required to review these documents prior to investing.
  • Custodial fees as applicable and disclosed in the relevant fee schedules.
  • Transaction fees as applicable and disclosed in the relevant fee schedules.

8.2 Platform Fees

Any fees for using the Platform will be clearly communicated to you in advance.

8.3 Third-Party Fees

You may be subject to additional fees charged by third parties, including mobile network operators for data usage and payment processors.

9. Investment Risks and Disclaimers

9.1 Investment Risk Disclosure

All investments carry inherent risks, including:

  • Market volatility and potential loss of capital
  • Liquidity risks
  • Currency exchange risks
  • Regulatory changes
  • Risks associated with Unit Trust Schemes, including fund performance volatility and redemption delays
  • Bond investment risks, including interest rate risk and issuer default
  • Equity market risks, including price fluctuation and liquidity constraints

Users should carefully consider their financial situation and risk tolerance before making any investment decisions. iTrust does not guarantee investment returns or protect against capital loss.

9.2 No Investment Advice

The Platform provides information and tools but does not constitute investment advice. While iTrust may offer specific investment advisory services under separate agreements and terms which it is licensed, any general information or tools provided on the Platform are for informational purposes only and should not be construed as recommendation or solicitation to buy or sell any security. You are responsible for making your own investment decisions.

9.3 Service Availability

The Platform is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access to the Platform or the accuracy of market data and disclaim any liability for any reliance placed on such information. Furthermore, iTrust disclaims liability for any loss or damage arising from your reliance on general information, research, or tools provided on the Platform without seeking professional and personalized advice.

10. Limitation of Liability

10.1 Liability Limitations

To the fullest extent permitted by Tanzanian law

10.2 Exclusions

iTrust shall not be liable for:

  • Investment losses due to market conditions
  • System downtime or technical failures beyond our reasonable control
  • Unauthorized access due to user negligence
  • Third-party service failures e.g. mobile networks, bank, not directly attributable to iTrust’s gross negligence or wilful misconduct
  • Any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or your use of the Platform
  • Losses arising from cyberattacks, hacking, or data breaches where iTrust has implemented reasonable and commercially standard security measures but such events occur due to unforeseen or sophisticated attacks

You agree to indemnify, defend, and hold harmless iTrust, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your breach of these Terms, your use of the Platform, your violation of any law or the rights of a third party, or any content or data you submit or transmit through the Platform.

10.3 Force Majeure

iTrust shall not be liable for any failure to perform due to circumstances beyond our reasonable control including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, pandemics, regulatory changes, or government-imposed restrictions affecting financial services.

11. Account Suspension and Termination

11.1 Suspension Rights

iTrust may suspend or terminate your account immediately without prior notice if:

  • You violate these Terms and Conditions
  • We suspect fraudulent or illegal activity
  • Required by regulatory authorities, including for purposes of AML/CTF compliance, market integrity, or fraud prevention
  • You fail to meet ongoing eligibility requirements
  • In iTrust’s sole discretion, your continued use poses a security risk or violates the spirit of these Terms

11.2 User Termination

You may terminate your account by providing written notice to iTrust, subject to settlement of all outstanding obligations.

11.3 Effect of Termination

Upon termination, you must cease using the Platform, and we may retain your data as required by applicable laws.

12. Intellectual Property

12.1 Ownership

All intellectual property rights in the Platform, including software, content, trademarks, and copyrights, belong to iTrust or our licensors.

12.2 User License

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal investment purposes only.

12.3 Restrictions

You may not copy, modify, distribute, or create derivative works based on the Platform without our written consent.

13. Complaints and Dispute Resolution

13.1 Complaint Process

If you have any complaints, you may contact us through:

We will acknowledge your complaint within one (1) business day and will endeavour to resolve the matter within fourteen (14) business days from the date of acknowledgment. If you are not satisfied with our resolution, you have the right to escalate your complaint to the relevant regulatory authority (the Bank of Tanzania or the Capital Markets and Securities Authority) per their respective complaint handling procedures.

This process is governed by our Customer Complaints Policy, which aligns with the BOT Financial Consumer Protection Regulations and the CMSA Guidelines on Investor Complaints Handling.

13.2 Mediation

Any disputes arising under these Terms shall first be resolved through good faith negotiations. If unresolved, the parties shall endeavour to resolve the dispute through mediation in Dar es Salaam, Tanzania, in accordance with mediation procedures agreed upon by the parties or, failing agreement, under the rules of an accredited mediation body in Tanzania.

13.3 Jurisdiction

These Terms shall be governed by and construed in accordance with Tanzanian Law. Any legal proceedings shall be conducted exclusively in Tanzanian courts.

14. Amendments and Modifications

14.1 Right to Amend

iTrust reserves the right to modify these Terms at any time without prior notice for minor changes. For significant changes that may materially affect your rights or obligations, we will provide reasonable prior written notice through the Platform or via email.

14.2 Continued Use

Your continued use of the Platform after modifications constitutes acceptance of the revised Terms.

15. General Provisions

15.1 Severability

If any provision of these Terms is determined to be invalid or found to be unenforceable in whole or in part, such invalidity or unenforceability will attach only to such provision and all other provisions hereof shall continue in full force and effect.

15.2 Entire Agreement

These Terms constitute the entire agreement between you and iTrust regarding the use of the Platform.

15.3 Assignment

Neither party may assign or delegate any of its rights or obligations under these Terms without the prior written consent of the other party.

16. Representations and Warranties

16.1 User Representations and Warranties

You represent and warrant that:

  • You meet all eligibility requirements set forth in Section 3.1.
  • All information provided by you to iTrust, including during registration and for KYC purposes, is true, accurate, complete, and current.
  • You have the legal capacity and authority to enter into these Terms and to perform your obligations hereunder.
  • All funds used by you for investment purposes through the Platform are from legitimate sources and are not proceeds of any illegal activity.
  • You will use the Platform and Services solely for lawful purposes and in compliance with all applicable laws and regulations.
  • You will maintain the security and confidentiality of your account credentials and bear responsibility for all activities occurring under your account.

16.2 iTrust Representations and Warranties

iTrust represents and warrants that:

  • It is duly licensed and authorized by the relevant regulatory bodies in Tanzania (CMSA and BOT) to provide the Services described herein.
  • It will provide the Services with reasonable care and skill, and in accordance with applicable laws and regulations.
  • It maintains appropriate technical and organizational measures to protect your Personal Data in accordance with Section 7.
